By accessing or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Application.
Defined Terms
In these terms of use, "We", "Us", "Our" refers to Entrepreneuro Inc. and its licensors while "You", "Your", "Yours" refers to users, whether individual or institutional, whether students, employees, contractors or otherwise.
License Grant
We grant You a non-exclusive, non-transferable, limited license to use the Application, subject to the terms of this Agreement.
Account Registration
You must register for an account in order to view data in MyTE Prof, whether Yours or Your institution's. You agree to provide accurate, current, and complete information as may be prompted by any registration forms on the Application.
You are responsible for maintaining the confidentiality of Your account and password and for restricting access to Your computer, and You agree to accept responsibility for all activities that occur under Your account or password.
You may alternatively use MyTE Prof anonymously for the purposes of responding to evaluation requests. No registration or personal information is required for this use.
Use Restrictions
You may not distribute, modify, transmit, reuse, download, repost, copy, or use the provided content, whether in whole or in part, for any purpose other than providing or reading an evaluation, without express advance written permission from us.
Intellectual Property
The Application and its original content (including content provided by You), features, and functionality are and will remain the exclusive property of Entrepreneuro Inc. and its licensors. We will endeavour, through anonymization and aggregation techniques, to keep the content You provide confidential (i.e. not disclose it to the person You evaluated, in a manner that would result in your identity being exposed).
Feedback
You agree to provide feedback on the Application, including, but not limited to, usability, bug reports, and effectiveness of the Application, and that if the feedback is used to alter the Application, You will have no intellectual property rights in the feedback or the alterations.
We may use this feedback for any purpose, at Our discretion, without obligation to You.
Privacy
Your use of the Application is also subject to our Privacy Policy, which explains how We treat Your personal information and protect Your privacy when You use the Application. You will find Our up-to-date Privacy Policy at https://www.myteprof.com/privacy.
Termination
We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach the Terms.
Disclaimer of Warranties
The Application is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Application is at Your own risk.
We disclaim all warranties, either express or implied, including without limitation, warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Entrepreneuro Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) Your access to or use of or inability to access or use the Application; (ii) any conduct or content of any third party on the Application; (iii) any content obtained from the Application; and (iv) unauthorized access, use or alteration of Your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage. Our liability for direct damages of any nature or kind, is limited to the price You actually paid Us for Your right to use the Application.
General
This Agreement constitutes the entire agreement between You and Entrepreneuro Inc. regarding Your use of the Application, superseding any prior agreements between You and Entrepreneuro Inc. regarding Your use of the Application.
Changes
We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. If a revision is material We will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
Governing Law
This Agreement shall be governed and construed in accordance with the laws of Ontario (and of Canada applicable therein), without regard to its conflict of law provisions.
